Applicability: VRL (the Holding Company) and all its current and future subsidiaries, brands, and offerings (including but not limited to Paul’s Notes, VRL Sprint, VRL Connect, VRL Collabs, and VRL Venture).

1. Introduction and Acceptance

Welcome to VRL. These Master Terms and Conditions (“Terms”) govern your access to and use of the websites, platforms, services, and products provided by VRL and its subsidiaries. By accessing or using any of our services, you (“User,” “You,” or “Your”) agree to be bound by these Terms. If you are entering into this agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such an entity.

These Terms form a binding contractual agreement between you and the VRL holding company, which extends to all its affiliated brands and subsidiaries. Any specific service you use may be subject to additional terms, which will be provided to you at the point of engagement.

2. Definitions

• “VRL,” “We,” “Us,” “Our” refers to the holding company and all its current and future subsidiaries and brands.

• “Services” refers to all offerings across our three tiers: Knowledge (Paul’s Notes), Build (VRL Sprint), and Partner (VRL Connect, VRL Collabs, VRL Venture).

• “User,” “You,” “Your” refers to any individual or entity accessing or using our Services, including website visitors, subscribers, clients, and partners.

• “User Account” means an online account created to allow access to or submission of information in any VRL system .

• “Content” includes all text, graphics, images, software, and frameworks provided through our Services, including the VBSS methodology.

3. Eligibility and User Accounts

3.1 Eligibility. Our Services are available only to individuals who are at least 18 years old and can form legally binding contracts under applicable law . By using our Services, you represent and warrant that you meet these eligibility requirements.

3.2 Account Registration. To access certain features of our Services, you may need to create a User Account. You agree to:

• Provide accurate, current, and complete information

• Maintain and promptly update your account information

• Maintain the security and confidentiality of your account credentials

• Accept responsibility for all activities that occur under your account

3.3 Account Termination. We reserve the right to suspend or terminate your account and access to our Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

4. Description of Services

Our Services are organized into three tiers, all built upon our proprietary VBSS (VRL Business Scaling System) framework.

4.1 Tier 1: Knowledge – Paul’s Notes. A subscription-based library providing documented frameworks, insights, and case studies from real business operations. This includes free foundational content and premium content with additional features such as call rotations, question forms, and detailed breakdowns.

4.2 Tier 2: Build – VRL Sprint. An 8-week done-for-you engagement where we build all 9 VBSS layers for your business. This is a fixed-scope, fixed-price project.

4.3 Tier 3: Partner – Three Tracks.

• VRL Connect: A marketplace matching service providers with clients. VRL facilitates the connection, and providers pay a commission upon successful booking.

• VRL Collabs: Co-branded distribution partnerships where VRL manages distribution (ads, customer data) and the partner provides the product/service, sharing revenue above an agreed baseline.

• VRL Venture: Deep equity partnerships where VRL takes an equity stake and profit share to rebuild an existing business or create a new entity.

5. Fees, Payments, and Refunds

5.1 Fees. The fees for our Services are as follows, unless otherwise agreed in a separate written agreement:

• Paul’s Notes: Free tier available; Premium tier at KES 12,000/month or KES 120,000/year.

• VRL Sprint: KES 120,000 one-time project fee.

• VRL Connect: Commission of 5–25% per successful booking.

• VRL Collabs: Revenue share of 30–50% of growth above baseline.

• VRL Venture: Equity stake (10–50%) plus profit share.

5.2 Payment Terms. Payment terms vary by service:

• Subscriptions (Paul’s Notes): Fees are billed in advance on a monthly or annual basis and are non-refundable except as expressly provided.

• Projects (VRL Sprint): Fees are payable upfront or in agreed milestones (e.g., 50% start, 50% upon handoff).

• Partnerships (Connect, Collabs, Venture): Fees are based on performance (commission, revenue share, profit share) and are payable as earned.

5.3 Refunds. Paul’s Notes Premium subscriptions include a 7-day full refund policy from the date of purchase. Other services may be subject to refunds as provided in specific agreements or at our sole discretion.

5.4 Late Payments. We reserve the right to suspend or terminate access to Services for late payments. You agree to pay all reasonable costs of collection, including legal fees, for overdue amounts.

6. User Obligations and Conduct

6.1 Prohibited Conduct. You agree not to:

• Use our Services for any illegal purpose or in violation of any local, national, or international law

• Violate or infringe the rights of others, including intellectual property rights

• Interfere with or disrupt the integrity or performance of our Services

• Attempt to gain unauthorized access to our systems or user accounts

• Use any robot, spider, or other automatic device to access our Services

• Upload or transmit viruses, malware, or other harmful code

6.2 Content Standards. Any content you submit to our Services must be accurate, not misleading, and must not violate any applicable law or these Terms.

7. Intellectual Property Rights

7.1 Ownership. All content, features, and functionality of our Services, including but not limited to the VBSS framework, text, graphics, logos, and software, are owned by VRL or its licensors and are protected by Kenyan and international copyright, trademark, and other intellectual property laws .

7.2 License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purposes.

7.3 Restrictions. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent. You may not reverse engineer or attempt to extract the source code of our software.

7.4 Partner IP. In partnership arrangements (Collabs and Venture), partners retain ownership of their pre-existing intellectual property (e.g., formulas, skills, methods). Any new IP created jointly during the partnership will be addressed in a separate agreement.

8. Confidentiality

8.1 Obligation. The parties may have access to confidential information of the other party. Confidential information includes non-public information marked as confidential or that a reasonable person would understand to be confidential .

8.2 Exclusions. Confidential information does not include information that: (a) is or becomes publicly available without breach; (b) was known to the receiving party before disclosure; (c) is independently developed; or (d) is required to be disclosed by law.

8.3 Protection. Each party agrees to use confidential information only for purposes of these Terms and to protect it using reasonable care.

9. Data Protection and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference . By using our Services, you consent to such processing and you represent that all data provided is accurate.

10. Disclaimers and Limitation of Liability

10.1 No Guarantees. We do not guarantee that you will achieve any particular financial result or business outcome from using our Services. Our frameworks are tools to guide you, but success depends on your execution and market factors beyond our control .

10.2 “As Is” Basis. Our Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement .

10.3 Limitation of Liability. To the maximum extent permitted by law, in no event shall VRL, its affiliates, directors, employees, or agents be liable for any indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with the use of our Services.

10.4 Cap on Liability. Our total liability to you for all claims arising from or relating to these Terms or your use of our Services shall not exceed the amount you paid us during the twelve months immediately preceding the event giving rise to the liability.

10.5 Consumer Rights. Nothing in these Terms affects your statutory rights as a consumer under Kenyan law, including your rights to goods and services of reasonable quality under Article 46 of the Constitution .

11. Indemnification

You agree to indemnify, defend, and hold harmless VRL, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

• Your access to or use of our Services

• Your violation of these Terms

• Your violation of any third-party rights, including intellectual property rights

• Any content you submit to our Services

12. Termination

12.1 Termination by You. You may stop using our Services at any time. Paid subscriptions may be cancelled through your account settings or by contacting us.

12.2 Termination by Us. We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms .

12.3 Effect of Termination. Upon termination, your right to access the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Dispute Resolution

13.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya .

13.2 Informal Resolution. Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us. We will attempt to resolve the dispute through negotiation.

13.3 Arbitration. Any dispute arising out of or in connection with these Terms that cannot be resolved informally shall be referred to and finally resolved by arbitration in Nairobi, Kenya, in accordance with the rules of the Nairobi Centre for International Arbitration.

13.4 Venue. For any matters not subject to arbitration, you agree that the courts of Kenya shall have exclusive jurisdiction.

14. Modifications to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect . By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.

15. General Provisions

15.1 Entire Agreement. These Terms, together with our Privacy Policy and any specific agreements for particular services, constitute the entire agreement between you and VRL regarding our Services .

15.2 Waiver and Severability. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction.

15.4 Notices. Any notices or other communications permitted or required hereunder shall be in writing and sent by email to the address provided in your account or to our official contact email.
